Introduction

Medley (medley.gg), operated under Lithium Ventures Ltd, company number 13582943 ("Lithium Ventures", "we", "us", "our"), establishes these Terms and Conditions ("Terms") to govern the use of the Medley platform ("Platform") and related services. Acceptance of these Terms is mandatory for using the Platform.

Definitions

Customer: Businesses or entities using Medley's B2B functionalities.
User: Individuals or entities interacting with Medley's B2C interface.
Content: Digital materials including text, images, videos, and other data forms.
Services: All functionalities, features, and offerings provided by Medley.

Eligibility

You affirm that you are at least 16 years old and possess legal capacity to agree to these Terms. Misrepresentation of age constitutes a breach of these Terms.

Registration

Account Creation: Accurate and updated information is required for account registration.
Account Security: You are responsible for the security of your account credentials and all activities under your account.

Use of Medley

Users and customers must adhere to local, national, and international laws. Prohibited activities include, but are not limited to:

Distributing unauthorized or owned materials.
Engaging in illegal activities.
Distributing explicit adult material.

Customer Responsibilities

Customers are responsible for:

All taxation and financial obligations.
Resolving disputes with users, as Medley is not responsible for any actions leading to disputes, including failure to fulfill orders.
Ensuring all content, products, or services comply with UK and Local laws.

Content Policies

All content on Medley remains the intellectual property of Lithium Ventures or its licensors, unless stated otherwise. Unauthorized use or reproduction is prohibited.

User-Generated Content

By posting content on Medley, you grant us a non-exclusive, royalty-free license to use your content. You retain ownership but are responsible for its legality and appropriateness.

Service Availability

While we aim for continuous availability, we do not guarantee uninterrupted service. Disruptions may occur due to maintenance or events beyond our control.

Payment and Refunds

Medley operates on a subscription basis. Subscriptions can be cancelled any time within the monthly or annual duration. There is no refund policy outside the free trial period.

Limitation of Liability

Lithium Ventures shall not be liable for any direct, indirect, incidental, consequential, or any other damages arising from the use or inability to use our services. This limitation applies to all damages of any kind, including but not limited to loss of data, income, or profit.

Governing Law

These Terms are governed by the laws of the United Kingdom, without regard to conflict of law principles.

Changes to Terms

We reserve the right to update these Terms. Material changes will be communicated via email and other relevant channels. Continued use after changes implies acceptance.

Termination

We may terminate accounts for reasons including, but not limited to, term violations, law enforcement requests, missed payments, or at our discretion.

Dispute Resolution

Disputes arising directly from actions of Medley not excluded in these Terms will undergo arbitration within the UK prior to litigation.

Indemnification

Users agree to indemnify Medley against claims arising from their use of the Platform, including but not limited to breaches of these Terms or infringement of third-party rights.
